Business Continuity Plan Contract with STNC Company

This contract ('Contract') is made and entered into on [date], by and between [Your Company Name] ('Company') and STNC Company ('STNC').

WHEREAS, Company desires to engage STNC to provide a Business Continuity Plan ('BCP') for Company; and

WHEREAS, STNC represents that it has the necessary expertise and experience to provide the BCP services as outlined in this Contract.

NOW, THEREFORE, the parties agree as follows:

1. BCP Services. STNC shall provide Company with a comprehensive BCP that includes the following:

(a) Assessment of Company's existing processes and procedures;

(b) Identification of critical business functions and processes;

(c) Development of procedures to continue critical business functions and processes in the event of a disruption;

(d) Identification of key personnel and their roles and responsibilities in the event of a disruption;

(e) Development of communication protocols for employees, customers, and vendors in the event of a disruption;

(f) Testing and validation of the BCP; and

(g) Ongoing maintenance and updating of the BCP as needed.

2. Payment. Company shall pay STNC for the BCP services as follows:

(a) A non-refundable deposit of [amount] upon execution of this Contract;

(b) [Amount] upon completion of the BCP;

(c) [Amount] upon successful testing and validation of the BCP; and

(d) [Amount] annually for ongoing maintenance and updating of the BCP.

3. Confidentiality. STNC agrees to keep confidential all information obtained from Company in connection with the BCP services.

4. Term and Termination. This Contract shall commence on the date first written above and shall continue until the BCP has been completed and accepted by Company. Either party may terminate this Contract upon written notice to the other party if the other party breaches any material provision of this Contract.

5. Governing Law. This Contract shall be governed by and construed in accordance with the laws of the State of [Your State].

6. Entire Agreement. This Contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.
