不锈钢栏杆合同 - 北京建汇不锈钢有限公司 - 常规

I. Contracting parties

一、签约双方

This contract is signed by and between Party A (Beijing Jianhui Stainless Steel Co., Ltd., hereinafter referred to as Party A) and Party B (Mr. Lee, hereinafter referred to as Party B).

本合同由甲方（北京建汇不锈钢有限公司，以下简称甲方）与乙方（李先生，以下简称乙方）共同签订。

II. Subject matter

二、标的物

Party A shall provide Party B with stainless steel railing products in accordance with the product specifications and quantity listed in the product list attached to this contract.

甲方应按本合同附件中的产品清单中的产品规格和数量向乙方提供不锈钢栏杆产品。

III. Price and payment

三、价格和付款

The total price of the stainless steel railing products provided by Party A to Party B shall be RMB_____ (_____ yuan), and the payment shall be paid by Party B in full before the delivery of the products.

甲方向乙方提供的不锈钢栏杆产品总价为人民币______（______元），乙方在产品交付前需全额支付。

Payment method: Party B shall make payment by bank transfer to the account designated by Party A within three days after signing this contract.

付款方式：乙方应在签订本合同后三日内，按照甲方指定的账户汇款。

IV. Delivery

四、交付

Party A shall deliver the stainless steel railing products to Party B within 10 days after the full payment by Party B.

甲方在乙方付款后十日内把不锈钢栏杆产品交付给乙方。

V. Quality assurance

五、质量保证

The stainless steel railing products provided by Party A to Party B shall meet the national GB/T_____ standard and have the quality assurance of one year.

甲方向乙方提供的不锈钢栏杆产品应符合国家GB/T_____标准，并具有一年的质量保证。

VI. Warranty

六、保修

If any quality problems occur in the stainless steel railing products provided by Party A to Party B within the warranty period, Party A shall bear the responsibility for repairing or replacing the products free of charge.

若甲方向乙方提供的不锈钢栏杆产品在保修期内发生质量问题，甲方应负责免费修理或更换产品的责任。

VII. Liability for breach of contract

七、违约责任

If Party A fails to deliver the stainless steel railing products to Party B within the specified time, Party A shall be liable for breach of contract and shall pay a liquidated damage of RMB_____ to Party B.

若甲方未能按照约定的时间向乙方交付不锈钢栏杆产品，甲方应承担违约责任，并向乙方支付人民币_____的违约金。

If Party B fails to make payment within the specified time, Party B shall be liable for breach of contract and shall pay a liquidated damage of RMB_____ to Party A.

若乙方未能按约定时间支付款项，乙方应承担违约责任，并向甲方支付人民币_____的违约金。

VIII. Dispute resolution

八、争议解决

In case of any disputes arising out of or in connection with this contract, the parties shall attempt to resolve the dispute through friendly negotiation. If the negotiation fails, either party may submit the dispute to Beijing Arbitration Commission for arbitration in accordance with the arbitration rules in force at the time of filing the application for arbitration. The arbitral award is final and binding upon both parties.

凡因本合同引起的或与本合同有关的争议，双方应协商解决。如协商不成，任何一方均可将争议提交北京仲裁委员会仲裁，按照申请仲裁时有效的仲裁规则进行仲裁，仲裁裁决是终局的，对双方均有约束力。

IX. Miscellaneous

九、其他

This contract shall be effective upon signing by both parties.

本合同经双方签字即生效。

This contract is made in three originals in Chinese, with each party holding one original.

本合同以中文书面形式制成三份，双方各执一份。
