Whereas:

甲方作为聘请乙方从事＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿
Party A, as the employer of Party B, has engaged Party B in___________________________________
乙方身为甲方员工，应当尊重甲方的机密资料，严格遵守甲方关于保密及竞业禁止的规定；
As an employee of Party A, Party B should respect Party A's confidential information and strictly follow the regulations of Party A on confidentiality and competition prohibition;
为确保双方的权益，双方本着诚实信用的原则，根据《中华人民共和国合同法》的有关规定，签订本协议，共同遵守：
In order to protect the rights and interests of both parties, the two parties, on the basis of the principle of good faith and credit, in accordance with the relevant provisions of the Contract Law of the People's Republic of China, hereby enter into this Agreement and observe it together:

一、保密范围

I. Scope of Confidentiality

乙方服务期间及终止服务后，乙方不得披露甲方的任何机密资料，包括但不限于甲方的商业秘密、技术信息、经营计划、商业计划等；
During and after the period of Party B's service, Party B shall not disclose any confidential information of Party A, including but not limited to Party A's trade secrets, technical information, business plans, commercial plans, etc.
乙方不得向任何第三方披露甲方的机密资料；乙方亦不得向任何第三方披露从甲方得知的任何有关甲方的资料。
Party B shall not disclose any confidential information of Party A to any third party; Party B shall also not disclose any information relating to Party A obtained from Party A to any third party.

二、竞业禁止

II. Competition Prohibition

乙方禁止在甲方服务期间或终止服务后从事任何可能影响甲方正常经营和活动的竞业行为。
During the period of Party A's service or after the termination of service, Party B is prohibited from engaging in any competitive activities that may affect the normal business and activities of Party A.
乙方禁止挪用甲方的客户、供应商或其他业务伙伴，以及为其他竞业单位提供服务。
Party B is prohibited from misappropriating Party A's customers, suppliers or other business partners, and providing services to other competing units.
乙方禁止向甲方的客户或其他业务伙伴推荐其他竞业单位，也禁止向其他竞业单位推荐甲方的客户或其他业务伙伴。
Party B is prohibited from recommending other competing units to Party A's customers or other business partners, and from recommending Party A's customers or other business partners to other competing units.

三、违约责任

III. Liability for Breach of Contract

如乙方违反本协议的规定，甲方有权要求乙方赔偿全部损失，包括但不限于合同纠纷费用、诉讼费用、律师费等。
If Party B violates the provisions of this Agreement, Party A has the right to require Party B to compensate for all losses, including but not limited to contractual dispute expenses, litigation expenses, legal fees, etc.
甲方同时有权要求乙方承担相应的违约责任，如果乙方的行为构成犯罪，甲方有权向公安机关举报。
Party A also has the right to require Party B to bear the corresponding liability for breach of contract. If Party B's act constitutes a crime, Party A has the right to report to the public security organs.

四、其他条款

IV. Other Clauses
