Purchase Contract Template: English Version for Goods and Services

1. Definitions

In this Contract, unless the context otherwise requires, the following expressions shall have the following meanings:

(a) 'Contract' means this Purchase Contract;

(b) 'Seller' means the supplier of the Goods, namely, [insert name];

(c) 'Buyer' means [insert name], the purchaser of the Goods; and

(d) 'Goods' means the goods or services to be supplied by the Seller to the Buyer in accordance with this Contract.

2. Agreement

The Seller agrees to sell and deliver and the Buyer agrees to purchase and accept the Goods in accordance with the terms and conditions of this Contract.

3. Delivery

The Seller shall deliver the Goods on or before [insert date] and in accordance with the delivery terms set out in this Contract and any additional terms agreed between the parties.

4. Price and Payment

The Seller shall invoice the Buyer for the Goods at the agreed price of [insert amount] and the Buyer shall pay the Seller the amount set out in the invoice within [insert period].

5. Warranty

The Seller warrants that the Goods will be of satisfactory quality and fit for their intended purpose.

6. Liability

The Seller shall be liable for any losses or damages suffered by the Buyer arising from any breach of this Contract or negligence on the part of the Seller or its employees or agents.

7. Termination

Either party may terminate this Contract by giving the other written notice of termination.

8. Applicable Law

This Contract shall be governed by and construed in accordance with the laws of [insert jurisdiction].
