甲方：晋中市煤炭监理局

乙方：某煤矿

见证人：

鉴于甲方拥有某煤矿煤炭经营权，现依据《中华人民共和国土地管理法》、《中华人民共和国煤矿法》等有关法律、法规，甲乙双方经友好协商，就甲方将其在某煤矿煤炭经营权转租给乙方一事，现达成如下协议：

一、甲方将其在某煤矿煤炭经营权转租给乙方，由乙方依法独立开展煤炭开采和销售活动，甲方不再参与其中。

二、乙方承诺其在某煤矿的煤炭开采和销售活动，将严格遵守国家有关法律法规，尊重当地传统习俗，全力推动煤炭行业的可持续发展，不得将其煤炭转租给第三方。

三、甲方保证其将某煤矿的煤炭经营权转租给乙方，不存在任何违背国家有关法律法规、违背社会公德、侵犯他人合法权益等情形。

四、本合同自甲乙双方签字之日起生效，有效期至某煤矿煤炭开采活动结束之日止。

Witness:

In view of the fact that Party A owns the coal mining right of a coal mine, in accordance with the 'Land Administration Law of the People's Republic of China', the 'Coal Mining Law of the People's Republic of China' and other relevant laws and regulations, Party A and Party B have reached the following agreement through friendly negotiation on the transfer of the coal mining right of Party A in a coal mine to Party B:

Party A transfers its coal mining right in a coal mine to Party B, and Party B shall independently carry out coal mining and sales activities in accordance with the law, and Party A shall no longer participate in them.
Party B promises that its coal mining and sales activities in the coal mine shall strictly abide by the relevant laws and regulations of the state, respect the traditional customs of the local area, make every effort to promote the sustainable development of the coal industry, and shall not transfer its coal to any third party.
Party A guarantees that its transfer of the coal mining right in a coal mine to Party B shall not violate the relevant laws and regulations of the state, social ethics, or infringe upon the legitimate rights and interests of others.
This contract shall come into force from the date of signing by the two parties and shall be valid until the date of completion of coal mining activities of the coal mine.
