This Agreement is made and entered into by and between Party A, the Employer and Party B, the Contractor, on this day of , 20 .

Whereas, Party A desires to construct a project (hereinafter referred to as 'the Project') and Party B desires to undertake the construction of the Project and the related works, upon the terms and conditions hereinafter set forth.

Now, therefore, in consideration of the mutual promises, covenants and conditions herein contained, the parties hereto agree as follows:

Project Description: The Project consists of the construction of a building (hereinafter referred to as 'the Building'), located at the following address:
Project Cost: The total cost of the Project, including all labor, materials, equipment, and other related costs, is estimated to be RMB.
Payment: Payment shall be made as follows:

a. Party A shall pay Party B a sum of RMB upon signing this Agreement.

b. Party A shall pay Party B a further sum of RMB upon completion of the Project.

c. All other payments shall be made in accordance with the terms of this Agreement.

Construction Period: The Project shall be completed within a period of months from the date of signing this Agreement.
Liabilities and Damages:

a. Party B shall be solely liable for any damages caused by its employees, subcontractors, or agents in the course of construction of the Project.

b. In the event that Party B fails to complete the Project within the time specified herein, Party B shall be liable for all damages caused by such failure.

Dispute Resolution:

a. All disputes arising in connection with this Agreement shall be referred to a mutually agreed upon third party for arbitration.

b. The decision of the arbitrator shall be final and binding on both parties.

Miscellaneous:

a. This Agreement shall be governed by the laws of the People's Republic of China.

b. This Agreement may be amended or modified only by written agreement of both parties.
