Any damage or shortage of goods shall be reported by the Buyer to the Seller in writing within 7 days upon arrival of the goods at the port of destination.Article 7: Force MajeureNeither party shall be liable for any failure or delay in performing its obligations under this agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, government regulations, war, fire, flood, explosion, or strikes.Article 8: Governing LawThis agreement shall be governed by and construed in accordance with the laws of the People's Republic of China.Article 9: Dispute ResolutionAny dispute arising out of or in connection with this agreement shall be settled through friendly consultation. If the parties fail to resolve the dispute through consultation within 30 days from the date of the written notice of dispute, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its arbitration rules in effect at the time of applying for arbitration. The arbitration award shall be final and binding upon both parties.Article 10: ConfidentialityThe Buyer and the Seller shall keep confidential all information and documents obtained from each other in connection with this agreement, and shall not disclose such information and documents to any third party without the prior written consent of the other party.Article 11: Entire AgreementThis agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior negotiations, discussions, agreements, and understandings, whether oral or written.
