Obligations of Party B Party B agrees to provide the service to Party A with the highest level of professionalism, diligence, and skill in accordance with the requirements of Party A. Party B shall provide the consulting service based on the agreed scope of work and timeframe, and shall be responsible for the quality of the service provided. Party B shall keep all information and data provided by Party A confidential and shall not disclose such information to any third party without the prior written consent of Party A. Party B shall comply with all laws, regulations, and policies related to the provision of consulting services.

5. Obligations of Party A Party A shall provide Party B with all necessary information and resources needed for the provision of the consulting service. Party A shall cooperate with Party B and provide timely feedback and guidance. Party A shall make payment in accordance with the payment terms in this Agreement.

6. Intellectual Property All intellectual property rights generated by Party B during the provision of the consulting service shall be owned by Party A. Party B shall not disclose or use any confidential information or intellectual property belonging to Party A, except with the prior written consent of Party A.

7. Termination Either Party may terminate this Agreement by giving written notice to the other Party. Upon termination, Party B shall provide Party A with all completed work and materials related to the consulting service.

8. Liability and Indemnification Party B shall be liable for any damages caused by its negligence or breach of this Agreement. Party B shall indemnify and hold Party A harmless from any claims, suits, or actions arising out of the provision of the consulting service by Party B.

9. Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Party A is located. Any disputes arising out of or in connection with this Agreement shall be resolved through friendly negotiation. If the parties cannot reach an agreement, the dispute shall be submitted to arbitration in accordance with the rules of the arbitration organization agreed upon by the Parties.

10. Entire Agreement This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

11. Amendment and Waiver This Agreement may not be amended or modified except in writing signed by both Parties. Any waiver of any provision of this Agreement shall only be effective if it is in writing and signed by the Party granting the waiver.
