e:The Seller guarantees that the goods supplied under this contract conform to the specifications and quality stipulated in the contract. In case of any non-conformity, the Buyer shall have the right to reject the goods and claim compensation for any losses incurred. The Seller shall be responsible for any defects in the goods arising from faulty materials, workmanship or design.10. Inspection:The goods shall be inspected by SGS or any other inspection agency designated by the Buyer at the port of shipment. The inspection fee shall be borne by the Buyer. In case of any dispute arising from the inspection results, the Buyer and the Seller shall appoint a mutually agreed upon third party inspection agency to arbitrate the matter.11. Payment Terms:(1) The Buyer shall establish an irrevocable letter of credit in favor of the Seller within 15 days after signing the contract.(2) The payment shall be made by the Buyer within 15 days after the arrival of the goods at the port of destination.(3) Any delay in payment shall result in the Buyer paying a penalty of 2% of the total contract value for every week of delay.12. Force Majeure:Neither party shall be liable for any delay or failure in the performance of this contract due to force majeure events such as acts of God, war, civil unrest, strikes, or other unforeseeable circumstances beyond the control of either party.13. Arbitration:Any dispute arising from the performance of this contract shall be settled by arbitration in accordance with the rules of the International Chamber of Commerce. The arbitration shall take place in Bangkok, Thailand, and the language of arbitration shall be English.14. Governing Law:This contract shall be governed by and construed in accordance with the laws of Thailand.15. Amendments:Any amendment or modification to this contract shall be made in writing and signed by both parties.16. Entire Agreement:This contract constitutes the entire agreement between the Buyer and the Seller and supersedes all prior negotiations, agreements or understandings, whether oral or written.17. Execution:This contract is executed in duplicate, with each party holding one original copy.
