alf of Party A, the university shall select and recommend qualified students to participate in the exchange program. The university shall also provide necessary information and documents required by Party B for admission and registration.

b.Party A shall bear all expenses incurred by its students for their study and living in Party B, including but not limited to tuition fees, accommodation fees, insurance fees, travel expenses, and personal expenses.

c.Party A shall ensure that its students comply with the rules and regulations of Party B and the laws and regulations of the host country during their study abroad.

2.Party B‘s responsibilities, rights and obligations,

a.Party B shall provide necessary information and documents required by Party A for the selection and recommendation of students.

b.Party B shall provide qualified teaching staff, teaching materials, and teaching facilities for the courses enrolled by the exchange students.

c.Party B shall provide accommodation, campus facilities, and support services for the exchange students.

d.Party B shall assist the exchange students in obtaining necessary visas, residence permits, and other documents required by the host country.

III. Intellectual Property Rights

1.All intellectual property rights arising from the cooperative education activities shall belong to the respective parties in accordance with the laws and regulations of the host country.

2.Party A and Party B shall respect each other’s intellectual property rights and shall not infringe upon each other’s intellectual property rights.

IV. Confidentiality

1.Party A and Party B shall keep confidential any information and documents provided by the other party in connection with the cooperative education activities, and shall use such information and documents only for the purpose of fulfilling their obligations under this contract.

2.This obligation of confidentiality shall survive the termination of this contract.

V. Termination and Amendment

1.This contract may be terminated by mutual agreement of the parties.

2.This contract may be terminated by either party upon written notice to the other party if the other party breaches any material provision of this contract and fails to remedy such breach within 30 days of receipt of such notice.

3.Any amendment to this contract shall be made in writing and shall be signed by both parties.

VI. Applicable Law and Dispute Resolution

1.This contract shall be governed by and construed in accordance with the laws of the host country.

2.Any dispute arising out of or in connection with this contract shall be resolved through friendly consultation between the parties. If the dispute cannot be resolved through consultation, either party may submit the dispute to the competent court of the host country.

VII. Miscellaneous

1.This contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.

2.This contract may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

3.This contract shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.

4.Any notice or other communication required or permitted to be given under this contract shall be in writing and shall be deemed to have been duly given if delivered personally or sent by registered mail or courier to the respective addresses of the parties set forth above.
