ht Payment Letter of Credit (L/C) in favor of the Seller for the total amount of this contract within 10 days after the signing of this contract. The L/C shall be available by negotiation against presentation of the shipping documents within 15 days after the date of shipment. The L/C shall be valid for negotiation in China and shall be payable against the presentation of documents at the counters of the issuing bank.

(11) INSURANCE:

The Buyer shall effect insurance covering the goods from the port of loading to the port of destination for 110% of the invoice value against All Risks.

(12) FORCE MAJEURE:

Neither party shall be liable for any delay or failure to perform its obligations under this contract if such delay or failure is caused by Force Majeure, which shall mean any event beyond the control of the affected party, including but not limited to acts of God, war, civil disturbance, and government regulations.

(13) ARBITRATION:

Any dispute arising out of or in connection with this contract shall be settled amicably through negotiations. If the parties are unable to reach a settlement within 30 days after the dispute arises, the dispute shall be submitted to arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall take place in Guangzhou, China, and the decision of the arbitrator shall be final and binding upon the parties.

(14) LAW:

This contract shall be governed by and construed in accordance with the laws of the People's Republic of China.
