Receiving Party will take all reasonable steps to ensure that the Information is not disclosed or used in violation of this Agreement.3. Receiving Party will promptly notify Disclosing Party in writing of any unauthorized use or disclosure of the Information, or any other breach of this Agreement, and will cooperate with Disclosing Party in any efforts to prevent or remedy such unauthorized use or disclosure.4. Receiving Party acknowledges that Disclosing Party retains all rights to the Information and that nothing in this Agreement shall be construed as granting any license or rights to Receiving Party, by implication or otherwise, with respect to the Information.5. Receiving Party acknowledges that the disclosure of the Information may cause irreparable harm to Disclosing Party, and that monetary damages may not be a sufficient remedy for such harm. Accordingly, in the event of any breach or threatened breach of this Agreement, Disclosing Party shall be entitled to seek injunctive relief, without the necessity of proving actual damages.6. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. Neither party may assign this Agreement without the prior written consent of the other party.7. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements between the parties with respect to such subject matter. This Agreement may not be amended or modified except in writing signed by both parties.8. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Disclosing Party is located. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts located in the jurisdiction in which Disclosing Party is located.9. This Agreement may be executed in counterparts, each of which shall constitute an original, but all of which shall constitute one and the same instrument.IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first written above.
