SALES CONTRACT

This Sales Contract (“Contract”) is made and entered into on [Date] by and between [Seller Name], a [Seller Address] (“Seller”), and [Buyer Name], a [Buyer Address] (“Buyer”).

WHEREAS, Seller desires to sell and Buyer desires to purchase the following goods (“Goods”) in accordance with the terms and conditions of this Contract:

NOW, THEREFORE, in consideration of the mutual promises and agreements contained herein, the parties agree as follows:

Purchase and Sale of Goods. Seller agrees to sell and Buyer agrees to purchase the Goods in accordance with the terms and conditions of this Contract.

Indemnification. Buyer shall indemnify and hold harmless Seller from any and all claims, damages, or expenses arising out of or in connection with the use or resale of the Goods by Buyer or its customers.
Governing Law. This Contract shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflicts of laws provisions.
Entire Agreement. This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.

Assignment. Neither party shall assign or transfer this Contract or any of its rights or obligations hereunder without the prior written consent of the other party.
