English Contract Translation

This Agreement is made and entered into on the _____ day of __, 20, by and between _____, hereinafter referred to as "Party A," and _____, hereinafter referred to as "Party B."

RECITALS

WHEREAS, Party A desires to engage the services of Party B to perform certain work;

WHEREAS, Party B possesses the necessary skills and expertise to perform such work;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work. Party B shall perform the work described in Exhibit A, which is attached hereto and incorporated herein by reference.
Compensation. Party A shall pay Party B the sum of _____ dollars ($_____) for the work performed under this Agreement. Payment shall be made in accordance with the payment schedule set forth in Exhibit B, which is attached hereto and incorporated herein by reference.
Term. This Agreement shall commence on the date first above written and shall continue until the work described in Exhibit A is completed.
Termination. This Agreement may be terminated by either party upon thirty (30) days written notice to the other party.
Confidentiality. Party B agrees to maintain the confidentiality of all information and materials provided by Party A.
Indemnification. Party B agrees to indemnify and hold harmless Party A from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with the work performed under this Agreement.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of _____.
Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.
