Amendment No 1 to the Outsourcing Master Agreement for PolicyOne - Swiss Re and CEC GienTech Technology Co.,Ltd.

This amendment agreement ("Amendment") is concluded by and between Swiss Reinsurance Company Ltd, Beijing Branch 22nd Floor, China Life Financial Center No. 23 ZhenZhi Road, 100026 Beijing, China (hereinafter referred to as "Swiss Re") and CEC GienTech Technology Co.,Ltd. Room 401, Building 4, Zone C, Dongsheng Science Park, 66 Xixiaokou Road, Haidian District, Beijing (hereinafter referred to as "Provider") (Swiss Re and the Provider each a "Party" and together the "Parties") WHEREAS, A) Swiss Re and Provider entered into the agreement referred to above regarding Outsourcing Master Agreement for PolicyOne of Work on 29th Sep 2022 (the "Agreement"). B) In order to continue the services as specified in the Outsourcing Master Agreement Project Cube the Parties wish to modify the Agreement as follows: 1. The Parties hereby agree to amend the End Date in Clause 22.1 of the Agreement from 1 years to 3 years. • This Agreement shall commence on the Effective Date and continue to be in force for 3 years (the "Term"). Agreement End Date changed to Sep 28th, 2025. 2. This Amendment shall enter into force on Date Sep 29th,2023. 3. In case of any conflict between the provisions of the Agreement and the Amendment, the provisions of the Amendment shall prevail. 4. Words capitalized but not defined above shall have the same meaning as assigned to them in the Agreement. 5. The provisions of the Agreement not affected by this Amendment shall remain in full force and effect. 6. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which taken together shall constitute one single document between the parties. Counterparts may be exchanged or attached as a pdf, jpeg, or similar file type to an email or by DocSign, DocuSign, Adobe Acrobat, or other electronic signature. Notwithstanding any date stamp on any such electronic signature, such electronic signature shall be deemed signed (i) as of the effective date of the Agreement as agreed herein (if any) or (ii) if no specific effective date is agreed between the Parties, as of the date stamp of the last electronic signature.
